Terms and conditions governing participation in the Klen AI Partner Program.

These Partner Program Terms ("Partner Terms") constitute a legally binding agreement between you ("Partner," "you," or "your") and Klen AI, Inc. ("Klen AI," "we," "us," or "our") governing your participation in the Klen AI Partner Program.
These Partner Terms are supplemental to and incorporate by reference our general Terms of Service. In the event of any conflict between these Partner Terms and the Terms of Service, these Partner Terms shall govern with respect to the Partner Program.
Important: By registering as a Partner, you acknowledge that you have read, understood, and agree to be bound by these Partner Terms. If you do not agree, you may not participate in the Partner Program.
The Klen AI Partner Program allows approved participants to earn commissions by referring new customers to our AI-powered recruiting platform. Partners receive a unique referral code and tracking link to attribute referrals.
Partners are automatically placed into tiers based on performance:
15% commission rate
Entry tier (0+ referrals)
20% commission rate
5+ active referrals
25% commission rate
25+ active referrals
Important: Commissions are earned on referred customer payments for a period of twelve (12) months from the date of the customer's first paid subscription. After this 12-month period, no further commissions will be earned on that customer's payments, regardless of continued subscription.
Commissions may be reversed ("clawed back") in the following circumstances:
Clawbacks will be deducted from pending commissions or future payouts. If your balance is insufficient, you agree to promptly repay the clawed-back amount.
Important: Klen AI operates two distinct partner programs: the Affiliate Program (described above) and the Sales Partner Program (described below). By participating in the Affiliate Program, you acknowledge and agree to the attribution rules that govern both programs.
The Affiliate Program is designed for content creators, influencers, and passive referrers who promote Klen AI through content and links. The Sales Partner Program is a separate, application-based program for professional sellers who engage in direct sales activities with prospects.
Sales Partner commissions are based on the customer's subscription plan:

Important for Affiliates: Sales Partners may register prospective customer domains before engaging in sales activities. If a Sales Partner has registered a domain and that prospect later signs up through your affiliate link, the Sales Partner will receive the commission—not you. This deal registration system protects professional sellers who invest significant time in longer sales cycles.

The Sales Partner Program is application-based and designed for professional sellers, agencies, and consultants. If you are interested in applying, please contact us at partners@klen.ai. Note that Affiliates and Sales Partners are mutually exclusive programs—you may participate in one, but not both simultaneously.
Violation of any prohibited activity will result in immediate termination of your Partner account, forfeiture of all pending and unpaid commissions, and potential legal action.
We may suspend or terminate your Partner account immediately if you:
We reserve the right to modify, suspend, or discontinue the Partner Program at any time with 30 days notice. In such event, we will honor pending commissions earned prior to the modification or discontinuation.
You agree to indemnify, defend, and hold harmless Klen AI, Inc., its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

No Guarantees: We do not guarantee any level of commission earnings, referral conversions, or program continuity. The Partner Program is provided "as is" without warranties of any kind.
Maximum Liability: Our total liability to you for any claims arising from the Partner Program shall not exceed the total commissions actually paid to you in the twelve (12) months preceding the claim.
Excluded Damages: We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or expected commissions.
Tracking Limitations: While we strive for accurate tracking, we are not liable for technical issues, lost cookies, or attribution errors that may affect commission calculations.
You agree to keep confidential all non-public information related to the Partner Program, including but not limited to:
This confidentiality obligation survives termination of your participation in the Partner Program.
These Partner Terms are governed by the laws of the State of New York, United States, without regard to conflict of law principles.
We may update these Partner Terms from time to time. We will notify you of material changes by:
Continued participation in the Partner Program after changes become effective constitutes acceptance of the updated terms. If you do not agree to the changes, you must terminate your participation before the effective date.
